OFFICIAL RULES FOR THE TRY XO SWEEPSTAKES

NO PURCHASE IS NECESSARY TO ENTER THE SWEEPSTAKES.
OPEN TO U.S. RESIDENTS ONLY.

1. SPONSOR: The Try XO V.I.P. Sweepstakes (the "Sweepstakes") is sponsored by KHS America, Inc. (referred to in these Official Rules as the "Sponsor"). The principal place of business of KHS America, Inc. is 12020 Eastgate Boulevard, Mt. Juliet, TN 37122. The Sponsor can be located at its principal place of business.
   
   
2. ELIGIBILITY: The Sweepstakes is offered only in the United States of America to persons 18 years of age or older residing in the United States. Entries from non-residents of the United States of America are ineligible. [The Sweepstakes is not offered to residents of the states of [Florida, New York], and Rhode Island.]
   
   Employees of the Sponsor and the Sponsor's affiliates, the immediate families of such employees (employees' parents, siblings, children and spouses) and members of the same household of such employees are not eligible to enter the Sweepstakes.
   
   The Sweepstakes is void where prohibited by law.
   
   
3. HOW TO ENTER: Visit your local XO retailer before December 31, 2012 and try any XO Professional Brass Instrument. Keep track of the XO models you tried out during your store visit by making notes on a TRY XO Comment Form available from the retailer. You may enter the Sweepstakes in the following ways: (1) Enter your comments and your Comment Form CODE into the online form located at www.xobrass.com/TryXO. Complete the online entry form by providing your name and valid e-mail address; or (2) hand print your comments, your name, complete address and phone number on either a 3 1/2" x 5" postcard or separate piece of paper no larger than 8 1/2" x 11", and mail the card or paper to Try XO V.I.P. Sweepstakes, KHS America, Inc., 12020 Eastgate Boulevard, Mt. Juliet, TN 37122.
   
   [Entrants may only register once -- multiple registrations by the same Entrant may, at the Sponsor's discretion, result in ineligibility to receive the Sweepstakes' prize.]
   
   No correspondence or contact other than that specified in these Official Rules will be accepted as an entry in the Sweepstakes. All entry information becomes the property of the Sponsor.
   
   
4. HOW THE SWEEPSTAKES WORKS/PRIZE AND PRIZE WINNERS SELECTION: All persons who completely satisfy the entry conditions set forth above and become Entrants will be eligible to win one of the following -
   One GRAND PRIZE: Winner's choice of an Artist Customized XO Professional Brass Trumpet, Flugelhorn, Trombone, Compensating Euphonium, or CC Tuba. Includes an expense paid trip to Long Beach, California for three days and two nights and instrument customizing session. Also includes one on one lesson with an XO clinician.
   Five (5) FIRST PRIZES: Personalized XO Custom Series Trumpet, Trombone, Euphonium, or Tuba Case or an XO Custom Gig Bag.
   Ten (10) SECOND PRIZES: Hercules Instrument Stand.
   
   The odds of winning any prize depends on the number of valid entries received. One (1) Entrant, randomly drawn from all entries received during the Sweepstakes Period, will be awarded the Grand Prize specified by the Sponsor as being awarded, on the last day of the Sweepstakes Period. Five (5) Entrants, randomly drawn from all entries received during the Sweepstakes Period, will be awarded the First Prize specified by the Sponsor as being awarded, on the last day of the Sweepstakes Period. Ten (10) Entrants, randomly drawn from all entries received during the Sweepstakes Period, will be awarded the Second Prize specified by the Sponsor as being awarded, on the last day of the Sweepstakes Period.
   
   Only one (1)Grand Prize will be awarded during the Sweepstakes. No purchase is necessary to enter the Sweepstakes or to be awarded a prize. The Sponsor shall announce the winner of the Sweepstakes Prize by February 1, 2013. The Sponsor reserves the right to announce the identity of the Sweepstakes prize winner(s) and the prize(s) awarded to each such winner on any of its websites or those of its affiliates.
   
   The prize winner will be required to execute and return a Declaration of Eligibility and Liability Release. Failure to comply with this requirement will cause the prize to be forfeited and awarded to an alternate winner. The prize winner who complies with these Official Rules shall receive the prize within 10 days after the end of the Sweepstakes Period. Except where prohibited by law, acceptance of a prize shall constitute and signify the winner's consent that the Sponsor may use the winner's name, likeness, image, voice, photographs, biographical information, address (city and state) and written statements made by the winner about the Sweepstakes and Sponsor for promotional purposes, in all forms of media, in perpetuity and without monetary payment or consideration.
   
   If a prize notification e-mail or regular mail notification is returned or deemed undeliverable, or if the winner is found to be ineligible or fails to comply with these Official Rules, the Sponsor may decide, in its discretion, that the winner has forfeited the prize and an alternate winner of that prize will be selected from eligible Entrants.
   
   
5. SWEEPSTAKES PERIOD/DEADLINE: The Sweepstakes begins on August 1, 2012 and ends on December 31, 2012 (the "Sweepstakes Period"). All entries must be received by the Sponsor by 5 PM Central Daylight Time on the last day of the Sweepstakes Period. Approximately [10] days after the Sweepstakes Period, one Entrant will be randomly selected for award of the Grand Prize, 5 Entrants will be randomly selected for award of the First Prize, and 10 Entrants will be randomly selected for award of the Second Prize.
   
   
6. ODDS OF WINNING: The odds of winning any prize depends on the number of valid entries received. The purchase of any goods or services from the Sponsor or its affiliates will not improve the odds of winning.
   
   
7. TRANSFERABILITY/TAXES: The prize is non-transferable and is not exchangeable for cash. The prize winner will be solely responsible for all taxes (federal, state and/or local) and any expenses not specified related to acceptance and use of the prize.
   
   
8. GENERAL CONDITIONS: The Sponsor is not responsible for errors, omissions, interruptions, deletions, defects, delays in operations or transmissions, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone, computer, hardware or software malfunctions of any kind, or inaccurate transmissions of, or failure of the Sponsor to receive entry information on account of human or technical problems in any combination thereof. Sponsor reserves the right, in its sole discretion, to modify or terminate the Sweepstakes in the event of any act, occurrence, or reason that it believes would corrupt the integrity, administration, or fairness of the Sweepstakes. The Sweepstakes is subject to these Official Rules. By entering, (a) participants agree to these Official Rules, the decisions of the Sponsor, which shall be final and binding in all respects, and waive any right to claim ambiguity in the Sweepstakes or these Official Rules; (b) participants release the Sponsor, its directors, officers, employees, affiliates, agents, representatives, vendors and such persons' directors, officers, employees and agents from any and all liability for any claims, injuries, losses, costs or damages of any kind caused by participation in the Sweepstakes or resulting from acceptance, possession, use or misuse of the prize; and (c) PARTICIPANTS ACKNOWLEDGE THAT THE SPONSOR AND OTHER RELEASED ENTITIES AND INDIVIDUALS HAVE NEITHER MADE, NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESSED OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE PRIZE, INCLUDING BUT NOT LIMITED TO THEIR QUALITY, MECHANICAL CONDITION, OR FITNESS, EXCEPT FOR ANY STANDARD LIMITED WARRANTY OFFERED BY ANY MANUFACTURER OF THE NON-CASH PRIZE. The Sponsor may prohibit an Entrant from participating in the Sweepstakes or winning any prize if, in its sole discretion, it determines that the Entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair practices or intending to annoy, abuse, threaten or harass any other participants or the Sponsor's agents or representatives. The Official Rules have not been authorized, issued or approved by any court, official, agency of the United States or any state or by any lawyer, law firm or insurance brokerage company.
   
   
9. WARNING: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
   
   
10. USE OF REGISTRATION INFORMATION: By completing the Sweepstakes Registration forms, Entrants grant the Sponsor the right to use the information provided on the forms, and to contact the Entrant by e-mail, telephone, mail, certified mail or fax.
